SERVICE AGREEMENT

BETWEEN

Maha E Solutions Pvt. Ltd. a company duly incorporated under the Companies Act, 1956 having its registered office at MAHA E SOLUTIONS PRIVATE LIMITED, Malhar Building Kothari Watika No. 3 Near Hanuman Temple, Akola, Akola, Maharashtra – 444005 And having its branch office at Pooja Complex, Sahkar Nagar Gourakshan Road Akola, 444001 (hereinafter referred to as Company) which Expression shall unless repugnant to the context or meaning thereof be deemed to mean and include Its successors and permitted assigns, represented by its authorized representative Mr. Swapnil Gajananrao Deshmukh, of The ONE PART.

Mr./Mrs./M/S ________________________________________________
An Individual/ Partnership Firm / Proprietorship Firm / Society/ trust, having its Registered at At. _________________________________________

(Hereinafter referred to as CSP) (Which expression shall unless repugnant to the context or meaning thereof be deemed to mean and include its successors and permitted assigns), represented by its authorised signatory Mr. Mrs_________________________________________ of the OTHER PART.

WHEREAS, Company is interlaid engaged in the business of financial and all online applications Service provider having its own Platform and is a CMF of Roinet Solutions pvt Ltd, And Authorised PSA of UTIITSL with presence across the Maharashtra. The Company through its in-house service portal called- Maha E Solutions provides several all-online applications/ financial services like bill pay services, permanent account number, Domestic money transfer (DMT) and Aadhaar enabled payment system (AEPS), International inward Remittance, insurance and many more. The Company is engaged in setting up customer service points CSPs in rural/semi-urban and urban areas across the Maharashtra State through which it is successfully Bringing the unbanked population into the formal banking sector. This Is Not Maha E Seva Kendra (SETU) Of Maharashtra Gov.

WHEREAS The Company also engages facilitators for effectively sourcing, managing and governing CSP’s as per directions of the Company and respective banks associated with it.
And Whereas, The Company is required to set up, manage & monitor broadband enabled CSP infrastructure and arrange required resources for the purpose of undertaking the mandate of various banks for new customer enrolments & related services in respective locations.

And Whereas, CSP is desirous of providing its services to the end-consumers
For the purposes of providing digital access to basic banking and various financial

Services and All online Services through the Xpresso, PSA and Maha e Solutions Service Portal of Company or the application provided by Company.

WHEREAS the Parties have agreed to enter into this Agreement for the purposes of recording their Mutual rights and obligations.

NOW THEREFORE, in consideration of, and subject to, the mutual covenants, agreements, terms and Conditions herein contained the mutual benefits to be derived therefrom and other good and valuable

Consideration (the receipt and sufficiency of which are hereby acknowledged) the Parties (defined Hereinafter) agree as follows:

APPOINTMENT

  1. Subject to the terms and conditions of the Agreement the Company hereby appoints
    Mrs./ M/S (Name of CSP) __________________________________________________________________________________
    As CSP and he/she hereby Agrees to be appointed as CSP for the term of this Agreement.
  2. During the term of this Agreement the CSP shall be under an obligation to render the services set forth in this Agreement in the manner provided herein.

RESPONSIBILITIES OF THE COMPANY

Subject to the provisions and during the term of this Agreement, the Company will:
  1. Provide the necessary technology platforms for facilitating and conducting financial Transactions at CSP outlets
  2. Provide necessary updates for upgrading the technology platform as and when the Need arises
  3. Provide back-end operational support to the CSPs including:
    • Call centre, Complaints Management
    • Processing of the necessary documents
    • Provide branding guidelines for CSPs
    • Installation of biometric device Drivers
    • Providing operational guidelines
    • Ensure adequate training on the products & services and processes.
  4. Company Can Appoint other CSP if Current CSP not Working Well or no activity. The CSP Registration Charges Is Not-refundable at any condition

RESPONSIBILITIES OF THE CSP

  1. The CSP shall be responsible for completing the necessary documentation and Know-your-customer formalities as per guidelines of the Company/banks as Released from time to time. CSP shall submit self-attested high-resolution Copies of documents to the Company
  2. CSP must ensure that the address mentioned in his/her Aadhaar card is from The same state in which he/she wants to start a CSP outlet, failing which CSP Must get the address updated/amended in his/her Aadhaar card
  3. CSP must provide valid address proof to Company of his/her CSP shop/outlet In addition to other e-KYC documents
  4. The CSP shall be responsible for creating awareness of the various services Offered by the Company and several other schemes launched by the Company.
  5. The CSP shall be responsible for installing the branding materials as per guidelines of the Company. The same should always be visible as per the instruction given by the Company.
  6. Brand guidelines: CSP must ensure that he/she does not abuse the brand guidelines provides by the Company or its associated banks. In case of any breach to this effect, Company may take strict action against the CSP
  7. CSP shall be solely responsible for any inappropriate conduct by himself/herself and must refrain from any fraudulent activities CSP agrees to fully indemnify the Company against any financial loss to end customers in case of any fraudulent acts committed by the CSPs. CSP Read the services rate list of portal then agreed.
  8. The CSP hereby agrees and keeps the Company indemnified against all claims, actions, loss, damages, costs, expenses, charges, including legal expenses (Attorney, Advocates fees included) which the Company may suffer or incur on account of failure of CSP to comply with the terms of this Agreement and/ or any deficiency in services rendered by CSP or any acts of Commission / omission on the part of employees, agents, representatives or Sub Contractors of CSP. The CSP agrees to make good the loss suffered by the Company on first demand made by the Company in this regard which shall be final conclusive and binding on the CSP.
  9. The CSP shall not be permitted to transfer this agreement / portal to any other. The CSP registration Charges is Rs. 2900 +(GST)/- Total- Rs. 3452 /-
  10. The Registration Charges Is Not Refundable at any condition.
